Scope and Contracting Parties
1.1 The following contractual provisions (General Terms and Conditions) apply to all contracts concluded with the customer (hereinafter: Customer) through the online shop of Invy GmbH, Freytagstraße 20, 30169 Hanover, Germany (hereinafter: Seller). The Seller’s contact details are:
Telephone: +49 15510 580097
Email: support@invy-elektro.de
Register court: Local Court of Hanover, commercial register number HRB 222006
Represented by the Managing Director: Valentin Genzel
1.2 The version of these General Terms and Conditions valid at the time the contract is concluded shall apply.
-
Definitions (Consumers and Businesses)
2.1 The Seller sells to both consumers and businesses. Individual provisions of these General Terms and Conditions differ depending on whether the Customer is a consumer or a business.
2.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or independent professional activity.
2.3 A business is a natural or legal person or a partnership with legal capacity that, when concluding the contract, acts in the course of its trade, business, or independent professional activity.
2.4 If a Customer places an order as a business, the Customer must indicate this during the ordering process. Without such an indication, the Seller will treat the Customer as a consumer. Incorrect information regarding business status shall be at the Customer’s expense.
-
Ordering Process and Conclusion of the Contract
3.1 The presentation of products in the online shop does not constitute a binding offer but rather a non-binding invitation for the Customer to place an order.
3.2 The Customer may place the desired items in the shopping cart and begin the ordering process by clicking the relevant buttons. During the ordering process, the Customer enters the information required for shipping and payment.
3.3 By clicking the “Buy Now” button (or “Place Order with Obligation to Pay”), the Customer submits a binding offer to conclude a contract for the items contained in the shopping cart. The Seller will immediately confirm receipt of the order by email. This confirmation of receipt does not constitute acceptance of the offer.
3.4 The Seller offers only payment methods for which payment is initiated immediately or after completion of the ordering process (see Section 6). For these payment methods, the Seller accepts the offer by making the respective payment option available at the end of the ordering process and initiating the payment. The contract is concluded upon completion of the payment process.
3.5 If delivery of the ordered goods is not possible through no fault of the Seller, for example because the Seller itself is not supplied on time by its suppliers through no fault of its own or because the item is already sold out, the Seller is entitled to withdraw from the contract. The Seller will immediately inform the Customer and promptly refund any payment already made.
3.6 By completing the order, the Customer confirms that they have read and acknowledged these General Terms and Conditions, the Privacy Policy, and the Withdrawal Policy.
-
Prices and Shipping Costs
4.1 The prices displayed in the online shop at the time the order is placed shall apply.
4.2 All prices are final prices and include statutory value-added tax, where applicable.
4.3 The purchase price becomes due immediately upon conclusion of the contract.
4.4 The displayed prices do not include shipping costs. The specific shipping costs will be shown separately to the Customer during the ordering process before the order is submitted.
-
Payment Methods
5.1 Only the payment methods offered during the ordering process are available.
5.2 The Customer selects the desired payment method during the ordering process. Purchase on account and payment in advance or by bank transfer are not offered.
5.3 Where payment is processed through an external payment service provider, that provider’s terms of use and payment conditions shall additionally apply. The Customer completes the relevant payment process and authorizes the payment to the payment service provider.
-
Delivery and Shipping Conditions
6.1 Unless otherwise agreed, delivery will be made by shipment to the delivery address provided by the Customer.
6.2 The delivery time is stated for the respective item or in the product description. The Seller will arrange delivery after payment has been received.
6.3 Worldwide shipping is not offered. Delivery is made only to the countries selected by us and available during the ordering process. If your country is not listed, you may send us an individual enquiry through the contact form.
6.4 For orders placed by businesses, the risk of accidental loss of or accidental damage to the goods passes to the Customer as soon as the goods have been handed over to the carrier.

Right of Withdrawal for Consumers
Consumers have a right of withdrawal in accordance with the statutory provisions. Businesses do not have a right of withdrawal.
Right of Withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason.
The withdrawal period is fourteen days from the day on which you, or a third party designated by you who is not the carrier, took possession of the goods. If several goods are ordered as part of a single order and delivered separately, the period begins on the day on which you, or a third party designated by you, took possession of the last item.
To exercise your right of withdrawal, you must inform us (Invy GmbH, Heuanger 3, 31171 Nordstemmen, Germany, email: support@invy-elektro.de) of your decision to withdraw from this contract by means of a clear statement, for example a letter sent by post or an email. You may use the attached model withdrawal form for this purpose, although this is not mandatory.
To meet the withdrawal deadline, it is sufficient for you to send your notification concerning your exercise of the right of withdrawal before the withdrawal period expires.
Consequences of Withdrawal
If you withdraw from this contract, we will refund all payments received from you, including delivery costs, except for any additional costs resulting from your choice of a type of delivery other than the least expensive standard delivery offered by us, without undue delay and no later than fourteen days from the day on which we receive notification of your withdrawal from this contract. We will use the same means of payment for this refund as you used for the original transaction, unless expressly agreed otherwise with you. Under no circumstances will you be charged any fees as a result of this refund. We may withhold the refund until we have received the goods back or until you have provided evidence that you have returned the goods, whichever occurs first.
You must return the goods to us (Invy GmbH, Heuanger 3, 31171 Nordstemmen, Germany) without undue delay and, in any event, no later than fourteen days from the day on which you notify us of your withdrawal from this contract. The deadline is met if you send the goods before the fourteen-day period has expired.
You shall bear the direct costs of returning the goods.

8. Exclusion or Early Expiry of the Right of Withdrawal
8.1 The right of withdrawal does not apply to contracts for the supply of goods that are not prefabricated and whose production is determined by an individual choice or specification made by the consumer, or that are clearly tailored to the consumer’s personal needs, for example individually configured or cut-to-length goods such as cables.
8.3 In the case of paid digital content that is not supplied on a physical data carrier, the right of withdrawal expires when the supply begins. This requires that the consumer has expressly consented to the early commencement of supply, acknowledged the loss of the right of withdrawal, and received a corresponding contract confirmation.
8.4 In the case of paid services, the right of withdrawal expires when the service has been fully performed. This requires that the consumer has expressly consented to performance beginning before the withdrawal period expires and acknowledged the loss of the right of withdrawal once the service has been fully performed.
9. Refunds
9.1 The Seller will issue any refunds using the same means of payment or account used by the Customer for the original payment, unless expressly agreed otherwise.
10. Retention of Title
10.1 In relation to consumers, the Seller retains ownership of the delivered goods until the purchase price has been paid in full.
10.2 In relation to businesses, the goods remain the property of the Seller until all claims arising from the business relationship have been paid in full. Resale in the ordinary course of business is permitted. The business hereby assigns to the Seller, in advance, the claims arising from such resale up to the amount of the invoice value. The Seller accepts the assignment. If the value of the securities exceeds the secured claims by more than 10%, the Seller will, upon request, release securities of its choice.
10.3 In the event of conduct by the Customer in breach of the contract, particularly default in payment, the Seller is entitled to withdraw from the contract and recover the goods in accordance with the statutory provisions.
11. Warranty/Liability for Defects
11.1 If the Customer is a consumer, the statutory rights relating to defects apply. For used goods, the limitation period for claims relating to defects is one year from delivery. This shortened period applies only if the Customer was specifically informed of it before submitting their contractual declaration and expressly and separately agreed to it. Statutory special provisions regarding limitation periods remain unaffected.
11.2 If the Customer is a business, the following provisions additionally apply:
For new goods, the limitation period for claims relating to defects is one year from delivery.
For used goods, liability for defects is excluded.
If the purchase constitutes a commercial transaction for both parties, the Customer must inspect the goods immediately after delivery and promptly notify the Seller of any apparent defects. Hidden defects must be reported immediately after discovery. If notification is not made in due time, the goods shall be deemed approved pursuant to Section 377 of the German Commercial Code (HGB).
11.3 The provisions in Section 11.2 do not apply in cases of intent or gross negligence, injury to life, body, or health, fraudulently concealed defects, guarantees assumed, or claims under the German Product Liability Act. In these cases, the statutory provisions apply. In all other respects, Section 15 applies.
12. Special Provisions for Digital Products
12.1 Digital products, for example information products in the form of downloads or digital content supplied by email or through a customer account, will be made available to the Customer after conclusion of the contract and receipt of payment in the manner described in the offer.
12.2 In relation to consumers, the statutory provisions governing digital products apply. Updates will be provided only where there is a legal obligation to do so.
12.3 In relation to businesses, liability for defects in digital products is excluded. Updates will be provided only if expressly agreed.
12.4 Unless otherwise stated, the rights of use granted to the Customer for digital products are non-exclusive, non-transferable, and limited exclusively to the Customer’s own non-commercial use.
13. Special Provisions for Services
13.1 Where the Seller offers services such as assembly, installation, electrical project planning, and registration of charging equipment with the grid operator, the following provisions and the respective service description shall additionally apply.
13.2 The scope, location, and date of the service shall be determined by the agreement reached. The Customer must provide the conditions necessary for performance, particularly access, suitable structural conditions, and required information, in a timely manner and free of charge. If the Customer fails to comply with these obligations to cooperate, the Seller may charge separately for any resulting additional work and waiting time.
13.3 Assembly, installation, and comparable work services must be accepted by the Customer following completion in accordance with the contract.
13.4 The Seller performs services in accordance with the recognized state of the art and the relevant standards applicable at the time of performance. The Seller assumes no warranty for circumstances outside its control, particularly the existing building structure, existing electrical installation, or decisions made by the grid operator.
14. Important Information Regarding Electrical Products and Wallboxes
14.1 Wallboxes, charging equipment, and electrical components, for example terminals, miniature circuit breakers, FI/RCD protective switches, and cables, may be installed, connected, and commissioned only by an authorized qualified electrician in compliance with the relevant standards and safety regulations, particularly the VDE regulations. The Seller accepts no liability for damage resulting from improper or unauthorized installation, commissioning, or use.
14.2 The Customer is responsible for complying with the registration and approval obligations required by the responsible grid operator for the operation of charging equipment. Charging equipment must be registered with the grid operator or, above certain power thresholds, approved by the grid operator. Controllable consumption devices must be designed to be controllable in accordance with the applicable statutory requirements. Compliance with these obligations is the responsibility of the Customer or the qualified electrician appointed by the Customer.
15. Liability
15.1 Before installation, connection, or commissioning, the Customer must inspect the goods for completeness and apparent damage. Apparent defects must be reported to the Seller without undue delay. Unsuitable goods must not be installed or used. Section 377 HGB additionally applies to businesses.
15.2 The Seller is not liable for damage caused by improper installation, incorrect use, unsuitable third-party components, or failure to comply with the manufacturer’s instructions. Statutory rights relating to defects remain unaffected.
16. Alternative Dispute Resolution
16.1 The Seller is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
17. Final Provisions
17.1 German law applies to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods. In the case of consumers, mandatory provisions of the country in which they have their habitual residence remain unaffected.
17.2 For merchants, legal entities under public law, and special funds under public law, the place of jurisdiction is Hanover.
17.3 If individual provisions of these General Terms and Conditions are or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. Invalid or unenforceable provisions shall be replaced by the applicable statutory provisions.
